Canopy Packages — Licence & Terms of Use
These terms apply to all Canopy packages purchased from Third Vector (for example the Investment Memo Package). The specific package and edition you bought are shown on your order confirmation.

Licensor: Third Vector Advisory B.V., registered in the Netherlands, KvK 99226774, Heemraadssingel 123A, 3022 CC Rotterdam, The Netherlands. Contact: help@thirdvector.io (“Third Vector”, “we”, “us”).
1. Definitions
- Package — the product you purchase (for example, the Investment Memo Package): a Claude Skill together with its Materials.
- Materials — everything in a package except the Skill: the workshop deck, facilitator guide, start-here guide, worked examples, prompts, and any other documents or templates.
- Skill — the Claude Skill and its reference files included in the package. The Skill is distributed via its own repository and is governed by the licence stated there. If that licence is open-source, it governs the Skill code, and these Terms govern the Materials.
- Edition — the variant of a package you buy. The Self-Led edition is for your own use. The Facilitated edition, and any reseller arrangement, is for delivering a package to others and requires a separate agreement (section 4).
- Buyer / you — the individual or organisation that purchased the package.
2. Licence grant (Self-Led edition)
Subject to payment and these Terms, Third Vector grants you a non-exclusive, non-transferable, non-sublicensable, worldwide licence to:
- use the Materials for your own internal business purposes;
- apply them to your own ventures and business lines, whether you are a founder starting something new or an operator inside an established company building a new product or services line, with no limit on how many of your own ventures or lines you use them for;
- make copies for your own use and adapt the editable files (for example, filling in the deck) for your own venture or line.
3. Restrictions
You may not:
- resell, redistribute, sublicense, lend, rent, share, or publish the Materials, in whole or in part;
- post the Materials, or a lightly modified derivative, anywhere others can download or access them;
- remove Third Vector or Canopy branding or notices from the Materials;
- use the Materials to deliver paid or unpaid services to third parties, including facilitation, consulting, coaching, or training, or bundle them into your own services for clients;
- use the Materials to build or train a competing product, template set, or workshop for distribution.
A purchase covers one Buyer. A multi-seat or team licence is available; contact us.
4. Facilitating for others, and reselling
The Self-Led edition grants no right to deliver a package to third parties. If you want to facilitate the workshop for clients, or resell or bundle a Canopy package as part of your own paid engagements, you need a separate written Facilitator or Reseller Agreement with Third Vector. This applies whether you charge for it, do it for free, or include it within a broader paid engagement. Contact help@thirdvector.io to arrange one.
5. Intellectual property
The Materials are owned by Third Vector and protected by copyright. This is a licence, not a sale of the underlying IP. All rights not expressly granted are reserved.
6. Updates and versioning
Each package carries its own version number and changelog. You are entitled to the version available at the time of purchase. We may provide updates at our discretion but are not obliged to. These Terms are independent of any package or Skill version: a new release of a Skill or its Materials does not change, or require an update to, this document.
7. Refunds and the EU right of withdrawal
A Canopy package is a digital product supplied immediately on purchase.
Consumers (EU). Under EU consumer law you normally have a 14-day right to withdraw. For digital content supplied immediately, that right is lost once supply begins, provided you have given prior express consent and acknowledged that you thereby lose the right of withdrawal. At checkout you must therefore actively confirm:
“I agree that the download begins immediately and I understand that I lose my 14-day right of withdrawal once it does.”
By giving that consent and downloading, you waive the 14-day withdrawal right and the sale is final.
Businesses. The statutory right of withdrawal does not apply to business buyers. Business sales are final.
Goodwill. Because the product cannot be returned, we do not offer refunds once a package has been accessed. If something is genuinely wrong, such as a corrupt file, a broken download link, or a duplicate charge, email help@thirdvector.io within 14 days and we will fix the file, re-issue the link, or refund at our discretion.
8. No warranty
The Materials and Skill are provided “as is”. A Canopy package is a thinking tool; it does not guarantee any funding, business, or other outcome. AI-generated output may contain errors and must be reviewed by you. We do not warrant fitness for a particular purpose.
9. Limitation of liability
To the maximum extent permitted by law, Third Vector’s total liability arising from a package is limited to the amount you paid for it. We are not liable for indirect or consequential loss, including lost profits, lost data, or business decisions made on the basis of the Materials. Nothing in these Terms limits liability that cannot be excluded by law.
10. Governing law
These Terms are governed by the laws of the Netherlands. Disputes are subject to the exclusive jurisdiction of the competent court in Rotterdam, except where mandatory consumer law gives a consumer the right to bring proceedings elsewhere.
